These Terms and Conditions ("Terms") form a legally enforceable contract between NursingReach and each person or entity that accesses, procures, or uses our website, data products, or related services. They govern account conduct, commercial use rights, legal compliance duties, and allocation of operational risk.

By entering, browsing, or transacting on this platform, you represent that you have read, understood, and accepted these Terms in their entirety. If you disagree with any provision, you must discontinue use immediately.

1. Definitions

For interpretative precision, the following terms carry the meanings assigned below:

• "Company" means NursingReach, including its lawful successors, assigns, affiliates, personnel, and authorized representatives.
• "User," "You," or "Your" means any individual or organization that accesses the platform, purchases deliverables, or otherwise uses the Services.
• "Services" means all platform features, data products, lookup tools, exports, and support activities made available by the Company.
• "Data" means professional contact information and associated metadata supplied through our offerings.

2. Eligibility

Access to the Services is conditioned on the following minimum eligibility requirements:

• You are at least eighteen (18) years old, or the age of legal majority where you reside.
• You possess legal capacity and authority to enter a binding agreement.
• You provide complete and non-misleading information for registration, billing, and compliance workflows.
• You will use the Services solely in conformity with applicable law and regulation.

3. Scope of Services

The Services are provided for lawful commercial outreach and market-development functions. Your license is limited, non-transferable, and subject to strict usage controls. By using the Services, you agree to:

• Use Data only for legitimate, consent-aware, and legally permissible business communication.
• Refrain from resale, relicensing, publication, pooling, or onward disclosure to unauthorized third parties.
• Avoid spam, impersonation, deception, harassment, and any unlawful targeting conduct.
• Acknowledge that professional records evolve and that absolute real-time accuracy cannot be guaranteed.

4. Purchase, Payment, and Pricing

• Except where expressly stated otherwise, purchases are final once order fulfillment begins.
• Full payment clearance is required before delivery, export access, or account activation.
• Listed fees may change prospectively; confirmed paid orders remain priced as invoiced.
• We may reject, reverse, or hold a transaction if fraud, abuse, sanction risk, or Terms breach is reasonably suspected.

5. Refund and Replacement Policy

Because Data quality can be measured but never rendered infallible, limited remedial protections apply:

• Deliverability Threshold: Data is supplied with a stated quality baseline at time of delivery, subject to ordinary market drift.
• Corrective Remedy: Where objective evidence shows material underperformance against an agreed threshold, replacement credits may be provided.
• Refund Standard: Monetary refund is limited to cases of substantial non-conformity with documented order specifications.

6. Data Accuracy, Compliance, and Legal Usage

We apply commercially reasonable data-governance controls; however, legal compliance in your downstream implementation remains your independent responsibility:

• No dataset is immutable or permanently complete - role changes, institutional transfers, and address retirement occur continuously.
• You must ensure your conduct complies with all applicable frameworks, including where relevant:
  • Health Insurance Portability and Accountability Act (HIPAA)
  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act and CPRA
  • CAN-SPAM Act and analogous communications statutes
• Any misuse generating enforcement exposure, civil claims, or regulatory penalties is borne exclusively by the responsible User.

7. Intellectual Property Rights

• All software, interface design, compilations, marks, branding elements, and proprietary methods are protected by intellectual-property law.
• No User may copy, adapt, republish, scrape, reverse-engineer, distribute, or commercially exploit protected materials without prior written authorization.

8. Prohibited Activities

The following conduct is expressly prohibited:

• Sending unsolicited bulk messaging in violation of legal notice and consent requirements.
• Reselling, syndicating, or redistributing Data without explicit permission.
• Fraud, impersonation, phishing, false affiliation claims, or materially deceptive communications.
• Unauthorized probing, intrusion, extraction, tampering, or service-interference activity.

9. Limitation of Liability

To the fullest extent permitted by law, NursingReachshall not be liable for:

• Any indirect, incidental, special, exemplary, punitive, or consequential loss.
• Any revenue loss, profit loss, reputational harm, interruption cost, or decision error tied to Data reliance.
• Any third-party acts, omissions, or legal breaches occurring after Data delivery.

10. Termination of Service

We reserve the right to suspend or permanently terminate any User's access to our services if:

• Any provision of these Terms is breached.
• Misuse, unlawful behavior, or high-risk abuse indicators are identified.
• Credible complaints or technical evidence show non-compliant campaign activity.

11. Indemnification

You agree to indemnify and hold NursingReach harmless from all claims, liabilities, penalties, losses, and expenses (including reasonable legal fees) arising from:

• Your use, misuse, or unauthorized disclosure of Data.
• Your non-compliance with applicable law, regulation, or industry rule.
• Your campaigns, representations, contractual commitments, or recipient disputes.

12. Modifications to Terms

We may amend these Terms from time to time to reflect legal, operational, or product developments. Revised terms become effective upon publication unless a later date is explicitly stated. Continued use following publication constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms and any non-contractual obligations connected to them are governed by applicable law. Any dispute, claim, or controversy shall be submitted to a court of competent jurisdiction, except where mandatory law prescribes otherwise.
